Greetings,

In accordance with prophecy, the next scheduled meeting of the 2018 Eugene Maker Space board of directors will be held on Wednesday, January 3rd at 6:00 PM Pacific.

This is a call for agenda items, if you have any, please respond and they'll be added to New Business.

Is our current treasurer (Hi, Piotr!) aware of and collecting monies
raised through Amazon Smile? Is our current membership aware that EMS
can be a beneficiary of Amazon Smile?

New Business Item: Proposed changes to the EMS Bylaws. Article II, Sections
11 and 12. Summary: Removal of whimsical references. Clarification of the
process for removal of a board member, and establishing a method for
members of the general membership to do so as well.

New Business Item: New Section of EMS Bylaws, Article II, Section 13 (old
13 becomes 14). Summary: Mandates a membership vote to accept the current
members of the Board of Directors, should the number of
currently-member-elected board members drop below 2. Also creates emergency
election procedure should that vote of confidence fail. Establishes what
happens should that emergency election happen with less than 4 months to
the next regularly scheduled election.

I believe that defunct boards, or boards that are under 3 members, have guidelines that fall under state or federal laws regarding organization. I don’t know how much research was done on this in the when addressing this in the first place and am not up to speed with why this is coming up, just giving a heads up about it. I am willing to research the relevant laws here.

Specifically, this refers to the number of board members that were 'elected
by the membership' rather than board appointees/replacements. This prevents
a situation where one or none of the current board members were put in
place by a vote of the members..and creates some accountability to 'have a
mandate' at least in terms of at least getting the membership to
rubberstamp the board as it sits in such a situation.

This situation existed when Tanda resigned, as all but one of the
originally (December 2016) elected members of the board had resigned for
one reason or another. Had this section existed, it would have triggered a
'vote of confidence' automatically when she resigned, requiring the
membership to vote to authorize Clif, Jer, and Tom to continue as the BOD.
